OSAI fa istanza di composizione negoziata della crisi (Teleborsa) - OSAI Automation System , società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, comunica che, il Consiglio di Amministrazione ha deliberato di avviare le attività funzionali a presentare l'istanza per l'accesso alla composizione negoziata della crisi (la "CNC"), con richiesta di nomina di un esperto indipendente, riservandosi la facoltà di chiedere l'applicazione di misure protettive del patrimonio ai sensi del CCII. La decisione, spiega una nota, è stata attentamente valutata "come la più opportuna alla luce dello stato attuale della Società, caratterizzato da uno squilibrio economico e di tensione prospettica di tesoreria, con conseguenti ricadute negative sul flusso di cassa della Società, ed è volta ad assicurare stabilità alla Società per il periodo necessario a realizzare le azioni volte al suo riequilibrio finanziario". In particolare, la domanda è finalizzata a superare la situazione di temporanea e transitoria tensione finanziaria che sta attraversando la Società, mediante una rinegoziazione ordinata del debito verso i creditori, con l'obiettivo di garantire la continuità aziendale, perseguire una profittevole gestione aziendale, salvaguardando i rapporti con tutti i suoi stakeholder. A sostegno di questa fase, il Consiglio di Amministrazione ha approvato un progetto di piano di risanamento (predisposto con il supporto degli advisor nominati dall'organo di amministrazione stesso), le cui linee guida prevedono, in sintesi: la prosecuzione stand alone dell'attività d'impresa, con ristrutturazione delle attività aziendali; una manovra finanziaria che preveda la concessione di una moratoria da parte degli istituti bancari; una proposta ai creditori diversi da quelli bancari che preveda una moratoria del debito con pagamento regolare di quanto maturerà in relazione a prestazioni effettuate in corso di procedura e un'ipotesi di remissione di debito (in misura contenuta) sulle posizioni maturate; una riorganizzazione della società con l'inserimento e la sostituzione di alcune figure apicali del management nel breve periodo.
